10. Governing Law and Jurisdiction

11.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. For users in the European Union, nothing in these Terms affects your rights as a consumer under EU consumer protection laws.

11.2 Jurisdiction and Dispute Resolution

Any disputes arising from or relating to these Terms or the Service shall be resolved as follows:

For Users in China:

Disputes shall be subject to the exclusive jurisdiction of the courts of Shenzhen, Guangdong Province, China.

For International Users:

We encourage resolution through good faith negotiation. If unsuccessful, disputes may be resolved through:

  • Binding arbitration under the Singapore International Arbitration Centre (SIAC) Rules
  • Arbitration shall be conducted in English in Singapore
  • Each party shall bear their own costs unless otherwise determined by the arbitrator

Small Claims Exception:

Either party may bring individual claims in small claims court in their jurisdiction for disputes under the monetary threshold.

11.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. This waiver does not apply where prohibited by law.

11. Severability and Waiver

12.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from these Terms, and the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

12.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.

12. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature or acts of God, acts of war, terrorism, riots, civil disorders, rebellions or revolutions, or any other cause beyond our reasonable control.

13. Assignment

We may assign these Terms at any time without notice or consent. Any attempted assignment in violation of this section shall be null and void.

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and us concerning the Service. These Terms supersede all prior or contemporaneous communications and proposals between you and us relating to the Service.

15. Changes to Terms
